Terms of Service

These terms are between MAP SENSE MEDIA CORP., a corporation incorporated in British Columbia, Canada, with its registered office at 32835 South Fraser Way, Abbotsford, British Columbia (“LotStudio AI”, “we”), and the business that opens an account (“you”). By using the service you accept them. If you are accepting on behalf of a dealership, you confirm you are authorised to bind it.

Where you and we have signed a separate written agreement, that agreement takes precedence over these terms wherever the two conflict.

LotStudio AI replaces the background of vehicle photographs you upload. Depending on the mode you select, it either replaces the background behind and around the vehicle, or removes distractions from an interior or detail shot.

The service does not retouch, recolour, reshape, or otherwise modify the vehicle. Badges, emblems, model names, wheels, ride height, paint, trim, lighting units, and registration plates are preserved as photographed. Each processed image is accompanied by audit metadata recording this.

We may change, add, or withdraw background presets and processing modes. We will give reasonable notice before withdrawing a preset you actively use.

Accounts are issued to a named business. You are responsible for the security of your login credentials and any API keys issued to you, and for all activity that occurs under them. Tell us promptly if you believe a credential has been compromised.

You must not share access with anyone outside your business, or use the service on behalf of a third party, without our written agreement.

You keep all rights in the photographs you upload. You grant us a limited licence to store, transmit, and process them solely to provide the service to you — including transmitting them to our image-processing sub-processor as described in the Privacy Policy.

By uploading, you confirm that:

• you own the photographs or have permission to use them;
• you have any consents needed for people or property visible in them; and
• using them through the service breaks no law or third-party right.

We do not use your photographs to train models, and we do not share them with other customers.

You must not use the service to:

• misrepresent a vehicle’s condition, specification, or identity, or produce images that would mislead a buyer;
• process images you have no right to process;
• attempt to access another customer’s data, or probe, scan, or interfere with the service’s security; or
• resell or white-label the service without our written agreement.

You remain responsible for meeting the advertising and disclosure rules that apply to your listings, including any obligation to disclose that a photograph’s background has been replaced.

Fees, included volume, and billing period are those set out in your plan or order form. Fees are stated exclusive of taxes, which are added where applicable.

One unit of volume is one successful processed image. Results you reject do not count toward your allowance. If you exceed your allowance we will contact you before charging anything additional.

Monthly plans are billed in advance and are non-refundable for the period already started. Invoiced accounts are payable within 30 days of the invoice date. We may suspend the service for accounts more than 30 days overdue after giving notice.

Monthly plans continue until cancelled and can be cancelled at any time. Access continues to the end of the paid billing period. To cancel, email us from an address associated with your account; we will confirm in writing.

We may suspend or terminate access for material breach of these terms, or for non-payment, after giving you notice and a reasonable chance to fix the problem — except where the breach threatens the security or integrity of the service, in which case we may act immediately.

After termination you may request an export of your data for 30 days, after which it is deleted as described in the Privacy Policy.

We aim to keep the service available and processing promptly, but we do not commit to a specific uptime figure unless one is stated in a separate written agreement. Processing depends in part on third-party infrastructure outside our control.

We may take the service down for maintenance. Where the work is planned, we will give reasonable notice.

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is” and we disclaim implied warranties of merchantability and fitness for a particular purpose.

Automated image processing is not perfect. You are responsible for reviewing results before you publish them — which is why every job passes through a review step before export.

Neither party excludes liability for anything that cannot lawfully be excluded, including fraud, or death or personal injury caused by negligence.

Subject to that, neither party is liable for indirect or consequential loss, lost profits, or lost business, and each party’s total liability arising out of this agreement is capped at the total fees you paid in the 12 months preceding the claim.

We may update these terms. Where a change materially affects your rights we will give at least 30 days notice by email or in-app. Continuing to use the service after a change takes effect means you accept the updated terms.

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules. The courts of the Province of British Columbia have exclusive jurisdiction over any dispute arising from them, and both parties attorn to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
